Acquisition process

1. Strategic planning

First we determine the key acquisition objectives. Why do you want to acquire a company? What is your risk profile? What is the desired timeframe? What are the possible pitfalls in respect of succession? Based on these objectives, we map out the desired outcomes of the proposed acquisition, including personal as well as business outcomes, as and where appropriate.

2. Target profile

During this phase, we establish an elaborate target profile in close consultation with our client. This intensive process serves the purpose of translating ideas you may have into strict criteria that a potential candidate must meet in order to ensure the best possible fit.

3. Approach candidates

With the use of our extensive network and databases, we will select companies that meet the criteria of our client’s target profile. The companies will be presented to the client in a long-list. Together, we will arrange the selected companies in order of best fit to determine which companies to approach first. The fit will depend on the degree to which the company meets the predetermined criteria and the owner’s willingness to sell. In addition to this active search process, we will present the profile to our large network of banks, investors, accounting firms, etc.

4. Personal advice on acquisitions

The acquisition process is always tailored to fit our client’s needs. Marktlink thoroughly analyses all acquisition opportunities together with our client. It is also important to ensure that the buyer and seller agree on the fundamentals, financially and in all other areas. Marktlink provides the negotiation skills needed to achieve the results you desire. All agreements will be documented in a Letter of Intent and subsequently in the sale and purchasing contract. Marktlink can also provide you with financing expertise; we will arrange an optimal financing structure with the use of a bank loan, subordinated debt and/or cumulative preferred stock.
